Confidentiality and Access Agreement

This agreement is entered into between Y. Baris Ozgun, Krefelder Str. 4, 10555 Berlin, Deutschland (hereinafter Service Provider) and   (hereinafter Client).

The Client intends to grant the Service Provider temporary access to systems, documents, or other confidential information in the context of   in order to enable a technical analysis, review, or advisory service.

This agreement governs confidentiality and the scope and terms of access before a separate service or work contract is concluded.

The Service Provider undertakes to treat all information disclosed under this agreement (including access credentials, system structures, business data, source code, and other internal information) as strictly confidential.

Confidential information must not be disclosed to third parties, published, or used for own purposes. The confidentiality obligation is unlimited in time, including after termination of this agreement.

Exceptions apply to information already known to the Service Provider, publicly available, or disclosed by third parties without breach of any duty of confidentiality.

The Client grants the Service Provider only the access necessary to carry out the agreed analysis or review. Access is limited to:

• Read access to relevant systems, configurations, and documentation as agreed
• No changes to production systems without explicit prior consent
• No retention of credentials beyond the analysis period

Upon completion of the analysis or at the Client's request, all transmitted credentials, documents, and copies will be deleted or destroyed without delay. The Service Provider will confirm deletion in writing upon request.

This agreement does not establish a service, work, or any other contractual relationship. Such a relationship requires a separate written contract. The Service Provider is not obligated to perform any work beyond the agreed analysis.

German law applies. Place of jurisdiction is Berlin. No oral side agreements exist. Amendments require written form.

If any provision of this agreement is invalid, the remaining provisions remain unaffected.
